PinBud International Limited is a web development start-up private company based in Calgary, Alberta. We are currently seeking a General In-house Legal Counsel to support our growth. This dynamic, part-time role will assume responsibility for providing legal support and advice to internal stakeholders on all aspects of the organization’s business activities.

Responsibilities:
•Drafting, reviewing and/or negotiating various legal documentation including, but not limited to, corporate by-laws, shareholder agreements, employment contracts, policies and procedures, intellectual property licensing arrangements, website terms of use, and customer agreements.
•Ensuring corporate compliance with applicable statutes, rules, laws and regulations. Monitoring and interpreting legislation affecting the organization and its customers.
•Working with and managing outside specialized legal counsel.
•Advising and overseeing our business expansion to international markets, incorporation and/or licensing with foreign authorities, compliance with all foreign rules and regulations.

Requirements:
•Law degree and member in good standing with a Canadian Law Society.
•Excellent communication, analytical, interpersonal, and organizational skills.
•Strong command of corporate law, internet law, marketing law, and related matters.
•Proactive business approach with strong strategic thinking.
