Responsibilities and Requirements : Will be responsible for ensuring enterprise compliance with the federal securities laws and state corporate laws as well as NYSE rules and other similar corporate regulations. Will act as the lead in-house counsel on all securities filings (10K, proxy, 10Qs, annual report). Will oversee corporate entity maintenance globally with the support of the corporate paralegal and global entity management system database (MS). Will prepare board meeting materials and resolutions in support of the General counsel and corporate secretary. Will act as primary in-house counsel to the Corporate Development team's merger, acquisition and joint venture activities. Will assist with the administration of corporate policies ( Insider Trading Statement). Federal securities laws, state corporate law and stock exchange rule compliance. Also assist with securities registrations and debt refinancings from time-to-time. Provide legal support on acquisitions, divestitures, mergers, joint ventures and strategic alliances. Draft / review material agreements and assist with due diligence. Prepare legal and governance materials for the parent company board of directors and board committees. Oversee corporate entity compliance program in forty countries. Negotiate and draft miscellaneous agreements in support of the enterprise and individual business units (customer service agreements, supplier contracts, software and technology licenses, real estate leases and amendments). Will also be expected to develop a comprehensive understanding of all aspects of operations, both physical and digital. Will have full management responsibility for a corporate paralegal and will often lead a cross-functional team in the preparation of certain securities, acquisition and commercial documents ( proxy statement, purchase agreements, commercial contracts). Will work closely with the General Counsel, VP of Corporate Development, senior attorneys within the Legal Function and key leaders within the business units, to manage public company compliance matters for the company, as well as enable growth and facilitate key initiatives.
