Responsibilities : Oversee all regulatory matters and manage global compliance function; stay abreast of changes and updates in regulatory laws, rules and regulations (domestic and international); interact with regulators regarding issues facing the organization. Consider and advise on potential tax ramifications (domestic and international). Manage legal aspects of all corporate governance activities such as entity formations and maintenance (domestic and international); corporate filings; drafting of operating agreements for limited liability companies, partnerships and corporations; interpreting domestic and international laws, rules and regulations; maintaining familiarity with federal and state laws that govern organizations (corporate, intellectual property, risk management, tax, technology, privacy) ; advising senior management on all of above. Will be responsible for the development and negotiation of legal contracts such as account-opening documents, agreements, exchange agreements, licensing agreements, investment transactions, ISDA contracts, market-making agreements, master service agreements, software/hardware vendor agreements, data provider agreements, consulting agreements.

Requirements : Senior attorney with 15+ years of legal experience in the capital markets industry will be considered. Must have extensive experience in managing regulatory issues for both securities and futures-related trading activity. Previous experience working on legal issues related to any of the following areas is highly preferred: international exchanges, clearing operations, broker-deal. Previous knowledge of and/or experience with any of the following areas is highly preferred: real estate, taxation, intellectual property, employment law, technology contracts. Must have strong knowledge of the trading industry, including securities, securities options, futures, futures options, and over-the-counter instruments. Must have strong business acumen. Proven ability to proactively identify issues and develop practical solutions. Outstanding analytical capabilities. Must have well-developed diplomacy skills. Previous arbitration and general litigation experience will be preferred. Proven ability to function effectively in a complex and diverse organization.
