Responsibilities : Managing Counsel - Dealer LendingDuties: Negotiate, document, and close commercial lending transactions with auto dealers, including real estate transactions, working capital, floorplan financing arrangements, revolving lines of credit and other dealer financing products. Provide ongoing advice on the servicing of these transactions, including the documentation of amendments, modifications and intercreditor agreements. Participate in the development of credit policies and procedures governing these transactions. Advise and make recommendations to Senior Management regarding strategic and structural issues impacting the dealer lending program and individual transactions. Communicate with headquarters and field personnel regarding transactions. Work with analysts in dealer credit as needed on deal structure and appropriate security positions for company. Assist deal credit department with analyses regarding corporate status, guaranties, miscellaneous other issues. Provide legal support for Dealer Sales and Service Offices, particularly focusing on dealer finance products. Serve on or advise internal committees, task forces and other working groups. Make independent legal decisions regarding how to document different types of commercial lending transactions. Communicate legal opinions effectively and professionally. Negotiate, structure and document dealer workouts. Negotiate and draft forbearance agreements and other restructuring arrangements. Work with the dealer lending and special assets departments on workouts, collections, action plans and recovery strategies. Provide recommendations to Senior Management on workout strategies and advise Senior Management of status and developments. Make independent legal decisions regarding strategy and documentation.

Requirements : J.D. degree required. 8-15 years of experience in a law firm or as in house counsel dealing with real estate financing, commercial financing, workouts and restructuring, corporate governance and general transactional work. Previous management experience is desirable. Experience with commercial financing with multi state transactions preferred. Working knowledge of Microsoft Word, Acrobat Reader. Note: The candidate will have the option to work a 9/80 alternative schedule which means working 80 hours over nine calendar days, with the tenth day off.
