Responsibilities and Requirements : CounselThe candidate will provide and, in part, coordinate overall legal services in support of company's proprietary mutual fund business, with assets under management of approximately $20 billion. Will work closely with business partners to, among other things, develop products and services, maintain products and provide legal support and guidance to the business for the day-to-day operations of the funds. Prepare and review filings with the Securities and Exchange Commission and other regulators regarding the mutual funds and their service providers (investment advisers, transfer agent). Assist with preparation for and documentation of the periodic mutual fund board meetings. Provide legal advice and counsel to management and staff responsible for the mutual funds (investments, compliance, marketing, accounting, operations). Provide day-to-day legal support for the mutual funds sponsored by company. Will work with the Chief Compliance Officer for the mutual funds, registered separate accounts, investment advisers, broker-dealer and transfer agent. Interface with independent counsel to the independent directors/trustees of the mutual funds. Oversee effective use of outside firms servicing the mutual funds (outside counsel, the financial printer). Deal with regulatory agencies that regulate mutual funds (SEC, FINRA and state securities departments).The candidate should have a J.D. degree from an accredited law school. Should be licensed to practice law in Minnesota. Must have 3-6 years of legal experience practicing general corporate and securities law, including solid experience with corporate governance matters, the Securities Act of 1933 and the Securities Exchange Act of 1934. Working knowledge of the Investment Company Act of 1940 and the Investment Advisers Act of 1940 preferred.
