Responsibilities and Requirements : Associate Attorney, Corporate and SecuritiesDuties: Provide legal advice to US companies with operations in China, and Chinese companies operating in the US, for Private Investment in Public Equity and Alternative Takeover transactions, including reverse mergers. Handle cross-border merger and acquisition transactions, including transactions involving Special Purpose Acquisition Companies Provide legal services for Securities Exchange Act of 1934 compliance and national exchanges (NYSE, NASDAQ and AMEX) listing applications and compliance. Handle Form 211 Applications with FINRA and Securities and Exchange Commission correspondence on behalf of clients. Scope of work includes drafting terms and conditions of agreements and reviewing corporate, financial and securities documents for compliance with applicable U.S. securities laws, U.S. GAAP rules and Chinese trade and commerce law.
