Candidate Profile

• JD from a top-tier law school with an excellent academic record
• Active Bar Admission in the relevant jurisdiction, in good standing
• 5-8 years of substantive experience advising on EGVC transactions
• Familiarity with standard EGVC forms (NVCA, (link removed), and Y Combinator)
• Experience managing preferred stock, bridge, and SAFE financings
• Proven ability to oversee due diligence in venture financings and M&A transactions
• Relevant experience at an AmLaw 100 firm is strongly preferred
• Skilled at advising clients on corporate governance and day-to-day operational matters
• Strong drafting, negotiation, and communication skills
• Proactive, organized, and able to manage multiple priorities in a fast-paced environment
