Analyze and advise business clients across a range of industries on legal matters such as Securities and Exchange Commission (SEC) reporting and disclosures, national securities exchange rules, capital raising transactions, and compliance. Work with insurers and underwriters in completing initial public offerings (IPOs) and private placements of securities including private investment in public equity (PIPEs). Assist in the preparation of current, quarterly, and annual reports, proxy statements, Section 16 filings, securities offering documents, and other SEC filings. Provide legal counsel on corporate governance issues, including legal research and analysis of various cooperate governance matters and public company disclosures and draft and maintain governance-related policies and procedures. Advise business clients on legal issues and risks, company policies, and strategy. Provide legal counsel and oversight for any litigation matters as they arise.

Requirements: Position requires JD, LLM, or Foreign Equivalent in Law, 12 months of same or similar experience, and admission to the New York Bar.

Offered Salary: $190,000-300,000
