Orrick, Herrington & Sutcliffe LLP has an opening for Managing Associate in Houston, TX. Advise clients on project development, M&A, tax equity, and debt financing in the renewable energy sector. Provide counsel on legal issues and risk factors throughout the full project life cycle for solar, wind and energy storage projects. Advise clients in connection with the development, procurement, and construction of battery energy storage systems. Manage portfolio financings and fundings for commercial and industrial renewable energy projects. Provide counsel to clients on corporate law matters including restructuring, joint ventures, and shareholder/member agreements, and legal issues related to cross-border data privacy. Draft key documents for transactions (e.g., asset or stock/LLC/partnership interest acquisition agreements, loan agreements, “project” agreements such as power purchase agreements and construction contracts). Advise clients on the legal and commercial issues that are common in financial transactions. Provide counsel on legal issues and risk factors throughout the full project life cycle for liquefied natural gas (“LNG”), solar, wind and energy storage projects, including project development, joint ventures and mergers and acquisitions (“M&A”) transactions. Advise clients in connection with long-term agreements for the purchase and sale of wind and solar power energy, renewable energy credits, hydrogen, green ammonia, natural gas and LNG. Advise clients in connection with trading commodities and hedging transactions, including negotiating and drafting of energy trading commodities agreements using the International Swaps and Derivatives Association (“ISDA”), North American Energy Standards Board (“NAESB”) and Edison Electric Institute (“EEI”) agreements. May telecommute.

Employer will accept a Master of Laws (LLM), or Juris Doctor (JD), from an ABA accredited law school, and 3 years of experience in the job offered, or in a lawyer-related occupation. Must be admitted to the Texas State Bar, in good standing.
