Job Description
As Senior M&A Finance Manager you join the M&A Team, and you will report to the Head of Integrations and Disentanglements. You will be responsible for the various Finance related deliverables in the M&A transaction process for acquisitions and divestments. You are the central coordination and escalation point for the broad spectrum of Financial topics in the M&A transaction process. You will ensure people, processes and systems in the acquired companies are sustainably integrated/separated in/from the global Philips Finance function. Hereby you keep focus to meet business objectives and performance targets.
Your role:


Lead pre-close and post-close activities for the Finance work stream of selected acquisition and divestment projects:
Deliver the Finance Due Diligence activities in close collaboration with Technical accounting and external partners, to ensure that relevant input is provided to deal model and integration strategy.
Write the finance integration and separation plans for M&A projects. For acquisitions, you write a 100 day Integration Plan that addresses interdependencies between Finance and other functions. For divestments, you define the separation activities and dependencies, and ensure these are properly executed.
Ensure a proper handover to the head of finance of the business or appointed dedicated Finance Integration Lead or act yourself as Finance Integration Lead (for smaller selected acquisitions).
Monitor and report on finance integration progress and value creation of acquired companies.
Capture lessons learned and drive continuous improvement of a standardized Finance due diligence and integration/separation approach.

You will work closely with a broad range of stakeholders like the M&A Deal Team and Integration Team, Functional experts from various Finance disciplines (Accounting, Tax, Insurance), the Head of Finance from the acquiring or divesting Business, other M&A Functional leads (e.g. IT, HR), and the Finance team of the acquired company.


Your challenge

Balance value generation with process orientation. Needs to work on both delivering value generation targets while at the same time ensuring a smooth integration/separation.
Work with CFOs. Needs to bridge reality of acquired business with Finance vision of acquiring business and integrating them in the Philips Finance Operating model. Develop a shared vision and integration strategy with Philips business Head of Finance and acquired CFO.
Communication to stakeholders. Need to be able to communicate to various Finance disciplines (Business Partners, Accounting, Tax and FP&A), on both leadership and operational levels.
Deal with uncertainty. Needs to balance the need for certainty with the need for action. Need to be comfortable with complexity and ambiguity and willing to make difficult decisions without complete information.
Every acquisition brings a unique business culture. Needs to appreciate (organizational) cultural differences and different management practices, utilize optimum change management methods, and define way forward as part of Philips.
Pre-Post acquisition. Mitigate identified risks and translate deal objectives in an integration plan.
Complexity: Needs to be able to work in an effective and impactful way in complex governance models and matrix organization at both Philips and if applicable at acquired business. Can bridge and connect acquired company with applicable resources within Philips organization. Deliver under time-pressure.

You're the right fit if:

Master degree in Business Administration, Business Economics, Finance, Accounting and/or Control.
5-7 years of relevant professional experience, including financial operations and business partnering. Preferably experience in Transaction Services (e.g. Acquisition Due Diligence, Vendor Due Diligence).
Broad understanding of finance operations and core processes.
Strong project management and stakeholder management skills.
Willing to take ownership and initiative while leveraging a can do attitude, problem solving skills and the ability to think creatively.
Being able to keep a helicopter view as well as a detailed understanding of the different functional and business issues.
