Job Summary:

The paralegal will play a vital role in supporting the General Counsel and internal clients in navigating the legal aspects of developing, building, financing, and operating renewable energy generation facilities. This position requires experience managing the preparation and execution of legal agreements and an understanding of the renewable energy project development and financing processes. The ideal candidate will possess excellent organizational skills, attention to detail, and the ability to work independently in a fast-paced environment.

Responsibilities:

  • Draft, review, and organize legal documents such as NDAs, service agreements, land agreements and other documents related to solar energy projects. Ensure compliance with relevant contractual requirements, laws, regulations, and industry standards.
  • Manage legal entities and records in good standing, including upkeep of corporate databases and org charts; prepare board meeting minutes and maintain minute books and corporate databases; manage legal entity creation and dissolution and corresponding filings and records; prepare corporate resolutions and filings.
  • Support complex financing and M&A transactions, including assisting with due diligence, document review, preparing and populating data rooms, drafting schedules to agreements, responding to counterparty diligence questions, preparing and managing transaction deliverables such as officers certificates, signature pages, and resolutions, and maintaining and tracking closing checklists.
  • Conduct research on legal issues pertaining to corporate matters and solar energy development matters, including environmental regulations, land use and zoning laws, renewable energy policies, and permitting requirements. Prepare summaries or reports for attorneys or clients.
  • Assist in conducting due diligence investigations for solar energy projects. Review project documents, perform title searches, verify property ownership, and identify legal or regulatory issues that may impact the project.
  • Develop and maintain procedures for contractual, regulatory, and legislative compliance tracking and monitoring. Stay up-to-date with changes in regulations and policies that may affect solar project development and operations.
  • Develop and maintain precedents for standard corporate commercial contracts and other documentation.
  • Provide support throughout the lifecycle of solar energy projects. Assist with project financing, coordinate with stakeholders (e.g., landowners, utilities, government agencies), and maintain project-related files and records.
  • Assist in obtaining necessary permits and licenses for solar energy projects. Prepare and submit permit applications, track progress, and communicate with relevant authorities to ensure timely approvals.
  • Maintain an organized system for managing contracts related to solar energy projects. Monitor contract milestones, renewals, and compliance obligations.

Requirements

Requirements:

  • Bachelor's degree in paralegal studies or a related field.
  • Paralegal certification or relevant work experience in the legal field.
  • Minimum of eight (8) years of experience as a paralegal supporting lawyers on complex corporate/commercial transactions such as financing and handling corporate matters in a fast-paced and dynamic law firm or in-house environment
  • Excellent research and analytical skills with the ability to summarize complex legal issues concisely.
  • Proficient in document drafting and review.
  • Familiarity with project development processes and permitting requirements for solar energy projects.
  • Attention to detail and ability to manage multiple tasks and deadlines.
  • Strong communication and interpersonal skills to collaborate with internal teams, clients, and external stakeholders.
  • Proficiency in legal research tools, MS Office, and document management systems.

Location: Houston, TX preferred location. Hybrid/ Remote working is acceptable for this role. Position may require periodic trips to Richmond, VA for team meetings.

Salary: Commensurate with experience.
