What you will be doing:

We are looking for a Corporate Paralegal to join our Legal Team. Reporting to the Head of Legal, this position will serve as a key player with wide-ranging duties related to legal, corporate governance, and investor relations matters.

Responsibilities

  • Ensure compliance with contractual obligations, investor obligations, and regulatory requirements
  • Coordinate negotiation, signing, and implementation of contracts
  • Coordinate investor disclosures
  • Manage Amogys legal documents and records
  • Liaise between internal stakeholders involved in legal processes
  • Own administration of cap table and stock option management
  • Oversee legal filings
  • Work with cross-functional teams to create required quarterly and annual reports
  • Create and format legal documents
  • Manage responses to diligence request
  • Implement processes to track and comply with legal obligations
  • Work with company executives to create materials for board of directors, including presentations, reports, and board resolutions

The salary pay range for this position is $82,626 $108,160(link removed) The salary pay range is applicable to positions physically based in New York City. Exact compensation may vary based on skills, job experience and physical location.

Requirements

Minimum qualifications we seek:

  • 5+ years of corporate paralegal and/or legal operations experience
  • Bachelors Degree or equivalent
  • Experience working with startups and/or venture capital firms
  • Experience managing legal filings, such as annual reports, securities filings, and regulatory disclosures
  • Understanding of cap tables and stock options, and ability to manage related processes
  • Experience managing contracts, including negotiations, redline implementations, signings, and tracking contractual obligations
  • Ability to review and summarize information from legal documents
  • Exceptional attention to detail and proofreading skills
  • Ability to work in a fast-paced and dynamic environment
  • Strong communication and organizational skills; ability to liaise between legal and non-legal stakeholders


Preferred Experience

  • Experience working on: corporate governance, regulatory compliance, entity structuring, entity formation, investor reports, contract management, debt or equity financings, subsidiary management
  • Experience working on cross-border transactions and other international matters
  • Law firm experience
