Skyven Technologies, an Energy-as-a-Service company focused on cutting CO2 emissions related to industrial process heating, is hiring a full-time general corporate attorney. We are looking for an attorney to oversee the day-to-day contracting and financing. To be successful in this role, you should have in-depth general corporate knowledge with strong finance and energy as a service contract type experience. About Skyven Skyven Technologies is an energy-as-a-service company that provides clean process heat to industrial facilities. We identify, fund, design, build, and install our cutting-edge, decarbonization technologies to help industrial manufacturers reach their sustainability goals, while minimizing their risk and reducing their operational expense. Our technologies have the potential to completely eliminate on-site CO2 emissions from industrial steam. Skyven was founded to move the needle on climate change, and our mission is to decarbonize industrial process heat. About the Role We are looking for a general corporate attorney to oversee the day-to-day functions of legal contracting and financing across the Company. A strong candidate will have ten years of strong law firm experience drafting, reviewing, revising, and negotiating contracts, and working to structure and close project financings, general corporate debt, and equity rounds. Responsibilities - Represent the Company in Contract negotiations with customers and suppliers, as well as project and other financings
- Draft, review, revise, and negotiate contracts and other legal documents, including contracts for: engineering, construction, construction management, 3rd party vendors, Customer Thermal Energy Services Agreements, NDA, and MSA agreements
- Reviews, researches, interprets, and prepares written and oral opinions on related legal issues
- Drafts, reviews, and approves policies and procedures and legal documents
- Identify and research legal issues bearing on the Companys business, and make recommendations as well as propose and document changes as necessary
- Assist the Company in selecting and retaining, as appropriate, outside counsel, where such support is necessary or desired
- Assist with corporate debt and equity fundings
- Assist with project finance and management/tracking of special purpose vehicles (SPV).
- Review and work with specialized patent counsel as appropriate
Location - We are a remote-first organization.
- The candidate must be located in the USA
Requirements - Ten (10) or more years of proven experience providing effective legal advice and counsel to corporate officers balancing legal and business risk management
- Strong track record of identifying, analyzing and interpreting legal issues for business teams, and working to find balanced solutions
- Strong writing and oral communication skills, including drafting contracts and other legal documents, for engineering, construction, construction management, 3rd party vendors, Customer Thermal Energy Services Agreements, NDA, and MSA agreements
- Demonstrated knowledge of current and developing legal issues and trends in area of expertise
- Ability to supervise and coordinate the work of outside legal professionals, paraprofessionals, and consultants
- Knowledge of project financial/business analysis techniques, including basic accounting.
- Demonstrated attention to detail, ability to work on tight time schedules
- Candidate must have a law degree from an accredited law school
- Admission to, and member in good standing of, the California State Bar is a plus
