CS Energy is hiring a Corporate Legal Assistant. The Corporate Legal Assistant (paralegal) will support the legal department by providing transactional, research and clerical support services including contract review, document preparation and review, filing, compliance matters, and correspondence.


Essential Duties and Responsibilities

  • Provide transactional support on a wide variety of matters including, but not limited to, managing and conducting project due diligence
  • Provide support for the negotiating and execution of project agreements, term sheets/LOIs, NDAs
  • Manage corporate formations, governance and maintenance, including operating agreements, resolutions and corporate certificates
  • Interface with different departments, vendors, clients and outside counsel on various administrative and legal support matters
  • Create document and forms management and control
  • Draft emails, letters, notices, and other legal documents
  • Assist with the closing process for various acquisition and project finance transactions
  • Track expenses and managing Invoicing for vendors and outside counsels
  • Perform administrative duties in support of the legal department and other transactions function-groups

Requirements

  • A minimum of five years of proven experience as a paralegal or in a similar role (at a law firm or supporting in-house corporate counsel)
  • Proficiency in data entry, document management systems, and other relevant software applications (including, but not limited to, Microsoft Office programs such as Outlook, Word, PowerPoint, SharePoint, and Excel)
  • Strong organizational skills with the ability to prioritize tasks effectively
  • Excellent written and verbal communication skills
  • Attention to detail and ability to proofread documents for errors
  • Knowledge of legal terminology, procedures, and regulations
  • Ability to handle confidential information with discretion
  • Ability to work as part of a team and in a collaborative environment
  • Strong analytical and research skills
  • Ability to work in the office in Edison, NJ
